END USER LICENSE AGREEMENT (EULA)

1. LICENSE GRANT
   
   1. License. Subject to the terms and conditions of this Agreement, Licensor grants Licensee for the term agreed upon by the parties non-exclusive, non-transferable, revocable license to use the Software ("Software") solely for Licensee's internal business operations.
   2. Restrictions. Licensee shall not: (a) sublicense, sell, lease, or otherwise transfer the Software to any third party; (b) modify, adapt, or create derivative works of the Software; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software; (d) use the Software in any unlawful manner.
   3. Scope of Use. The software provided under this Agreement may only be used by users who are authorized under the terms of the individual client agreement. Authorized users are permitted to access and use the applications as outlined in the agreements. The use of the software is restricted to the purposes specified in the agreement(s), and any other use is prohibited unless otherwise authorized by Smartbox. Any unauthorized use, including but not limited to access by unapproved users or for unapproved purposes, is a violation of this Agreement.
2. OWNERSHIP
   
   1. Intellectual Property Licensee may, from time to time, provide suggestions, comments, or other feedback to Licensor regarding the Software ("Feedback"). Licensor shall have the right to use and incorporate Feedback into the Software without any obligation to Licensee.

3. SUPPORT AND UPDATES
   
   1. Support. Support for the Smartbox software will be provided in accordance with the terms outlined in the separate agreement between Smartbox and the client. The scope, level, and duration of support services will be defined in the individual client agreement and may include assistance with installation, troubleshooting, software defects, and updates.
   2. Updates. Licensor may, in its sole discretion, provide updates, patches, or new versions of the Software ("Updates") to Licensee. Licensee agrees to install and use such Updates to ensure the proper functioning of the Software.
4. DISCLAIMER OF WARRANTIES
   
   1. As-Is. Smartbox warrants that the software will perform as described in the documentation. This warranty does not cover issues arising from misuse, unauthorized modifications, third-party integrations, or external factors such as network failures.
      The sole remedy for any breach of this warranty is the repair or replacement of the software. Smartbox makes no other warranties, either express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
      The details of the warranty terms are defined in the agreement between Smartbox and the client.
5. LIMITATION OF LIABILITY
   
   1. Consequential Damages. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
6. MISCELLANEOUS
   
   1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of India.
   2. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and does not override any separate agreements between the parties, including any individual client agreements. Both this Agreement (EULA) and any separate client agreements should be honored in full.
